Through its Loan Agency unit, the IMI Corporate & Investment Banking Division manages contractual agency activities and supplies specialist financial services, offered to all clients who need assistance in finalizing their financing transactions.

The array of services offered has been enhanced over the years due to the continuing specialization of the bank’s professionals and greater penetration within the reference market.

The services refer to complex transactions, where the agent is responsible for many activities, including, for example:

• Checking the conditions for the effectiveness of the contracts
• Checking periodic compliance formalities (e.g. financial covenants and administrative compliance matters) and the respect of contractual obligations
• Administrative management of contractual compliance formalities
• Assistance in managing waivers, contract amendments, material transactions, real property sales, restricted accounts and waterfall clauses

Building on past experience, we have developed new commercial and financial services including: closing solutions for corporate and wealth-management transactions; the management of surety commitments; verification of contract termination conditions; representation of specific contractual interests; escrow agent to ensure payments in sale/purchase contracts; security agent; SACE agent; EIB agent; CdP agent; and fronting bank.
